QueryTek Review Terms of Use

These Terms of Use explain the rules for using QueryTek Review. QueryTek Review is a business service operated by Extanto Technology, LLC that allows authorized users to upload documents, track review progress, receive reviewed outputs, and use related workflow features through a secure online workspace.
By using QueryTek Review, each user agrees to these Terms for themselves and for the organization that gave them access to the service. If a user is not authorized to agree on behalf of that organization, the user must not use QueryTek Review.
The QueryTek™ names, including QueryTek™, QueryTek Review™, QueryTek Tapestry™, and QueryTek Assessments™, are trademarks owned by Extanto Technology, LLC. Who may use the service
QueryTek Review is intended only for business and organizational use. The product requirements define user roles around client organizations, client administrators, reviewers, review leads, and platform administrators, rather than consumer or household users.
Users must be at least 18 years old and must be authorized by their organization to use the service.
What the service does
QueryTek Review is a managed-service platform through which Extanto provides secure document intake and professional review workflow for written and AI-generated content. Depending on the applicable service package or engagement, the platform may include secure uploads, status tracking, review assignment, annotations, scorecards, notifications, and related reporting or delivery features.
Some features described in planning materials are future features rather than launch features. For example, external repository integrations such as Box and Google Workspace Drive are described as later-phase functionality, not launch defaults.
Accounts and access
Users need an authorized account to access QueryTek Review, and access is controlled through authentication, role-based permissions, and tenant-based workspace separation. Users are responsible for protecting their login credentials and for using the service only within the scope of their authorized access.
Organizations are responsible for the actions of their users and administrators in the service, except to the extent a problem is caused by Extanto's own failure to meet its legal or contractual obligations.
Acceptable use
Users and organizations may not:
- Use the service in a way that breaks the law or violates another person's rights.
- Upload or submit material unless they have the right to do so.
- Try to bypass login controls, workspace restrictions, tenant boundaries, or other security features.
- Interfere with the service, damage it, test it without permission, or introduce malware or other harmful code.
- Misuse review outputs, account access, or payment functions.
- Pretend to be another person or organization.
Extanto may suspend or limit access if there is a security concern, suspected misuse, nonpayment, legal requirement, or material breach of these Terms.
Your content
As between Extanto and the client organization, the client keeps its rights in the documents and materials it submits to QueryTek Review. The product requirements also state that submitted document IP remains with the client, while annotated output is Extanto's work product delivered under contract.
By using the service, the client organization gives Extanto the rights needed to host, store, access, process, review, annotate, return, and otherwise handle submitted materials as necessary to provide the service.
The client organization is responsible for making sure it has all rights, permissions, notices, and legal authority needed to submit content to the service.
Extanto materials and work product
Extanto and its licensors keep all rights in the QueryTek Review platform, software, interface design, workflows, scoring methods, review frameworks, documentation, and other underlying service materials, unless a separate written agreement says otherwise.
If a client purchases review outputs, scorecards, or related deliverables, the client's rights to use those deliverables are limited to the rights granted in the applicable commercial agreement, statement of work, order form, or similar written terms.
Payment terms summary
For certain services, QueryTek Review supports a quote-and-pay workflow through Extanto's WooCommerce setup on extanto.com. When that workflow applies, the platform may analyze the uploaded document, generate a quote, and direct the user to a WooCommerce payment page hosted by Extanto.
In plain terms, the payment flow works like this:
- QueryTek Review may calculate a price based on factors such as word count, service category, module, product tier, minimum charge, and turnaround settings.
- The user may see the quote before payment and can then continue to payment through WooCommerce.
- Payment is processed through WooCommerce and the related Visa payment gateway, not directly inside QueryTek Review.
- QueryTek Review does not store, process, or transmit payment card data.
- A document usually does not enter the review queue until payment is confirmed.
- If payment is not completed, the item may remain in a quoted or unpaid status and may not move forward for review.
- Refund handling, tax handling, receipts, and related payment operations are managed through Extanto's WooCommerce systems and business processes.
Exact pricing, timing, billing terms, taxes, refunds, subscriptions, turnaround commitments, and any enterprise-specific payment arrangements may also be covered by a separate order form, statement of work, subscription agreement, or other signed commercial document. If there is a conflict, the signed commercial document controls.
Confidentiality
You told us to assume that NDA and confidentiality agreements are already in place before these documents. These Terms do not replace stricter confidentiality duties in any separate NDA, services agreement, data processing agreement, or similar contract.
Users must treat non-public information they access through the service as confidential, including other workspace content and Extanto's proprietary materials.
Privacy
Use of QueryTek Review is also subject to the QueryTek Review Privacy Policy and Cookie Notice. Those documents explain how personal data and strictly necessary browser technologies are handled in connection with the service.
Third-party services
QueryTek Review may rely on or connect with third-party services such as Keycloak for authentication, Courier for notifications, WooCommerce for payments, and, in later phases, Box or Google Workspace Drive for repository integrations. Extanto is not responsible for outages, policy changes, or failures of third-party services except where required by law or a separate written agreement.
Availability and changes
Extanto may improve, change, suspend, or stop part or all of QueryTek Review from time to time. The product requirements include internal goals for security, backups, uptime, and operational reliability, but those internal product requirements are not a service-level agreement unless they are expressly included in a signed contract.
Disclaimers
To the fullest extent allowed by law, QueryTek Review is provided "as is" and "as available," unless a separate written agreement says otherwise. Extanto does not promise that the service will always be uninterrupted, error-free, or suitable for every purpose.
Review work involves human judgment. Extanto does not guarantee that any review output will eliminate legal risk, satisfy every regulatory obligation, or produce a specific business result.
Limitation of liability
To the fullest extent allowed by law, Extanto and its affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, lost data, or lost business opportunities arising from or related to the service or these Terms.
To the fullest extent allowed by law, Extanto's total liability arising out of or relating to the service or these Terms will not exceed the amount the client organization paid to Extanto for the affected service during the 12 months before the event giving rise to the claim, unless a different limit is stated in a signed written agreement.
Nothing in these Terms excludes liability that cannot legally be excluded.
Indemnity
The client organization will defend, indemnify, and hold harmless Extanto and its affiliates, officers, employees, and agents from claims, losses, damages, liabilities, and expenses arising out of the client's content, misuse of the service, breach of these Terms, or violation of law or third-party rights, except to the extent caused by Extanto's own breach of these Terms or applicable law.
Suspension and termination
Extanto may suspend or terminate access to QueryTek Review for security reasons, legal compliance, nonpayment, inactivity, or material breach of these Terms. A client organization may stop using the service at any time, subject to any continuing payment, confidentiality, or other contractual obligations.
If access ends, Extanto may handle retained data in line with the Privacy Policy, client instructions, backup practices, legal obligations, and any separate written agreement.
Governing law and venue
These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law rules. Any dispute relating to these Terms or the service must be brought in the state or federal courts located in Oregon, unless a separate signed agreement says otherwise.
Changes to these Terms
Extanto may update these Terms from time to time. If that happens, the updated version will apply when it is posted or otherwise communicated, unless a later effective date is stated.
